501(c)(3) Transition Roadmap

Clean Slate Houston Foundation holds an active 501(c)(3) tax exemption through an existing nonprofit entity. We are completing a name change and mission amendment — a simple $25 process through the Texas Secretary of State. Donors who express interest now will be notified the moment the transition is complete.

501(c)(3) Status — Confirmed Active

Existing nonprofit entity holds an active IRS 501(c)(3) determination letter. All Form 990 filings are current. No assets. Exemption in good standing.

New Bylaws Adopted by Board

Updated Bylaws reflecting Clean Slate Houston Foundation's veteran-focused mission, new board structure, and conflict of interest policy formally adopted by board resolution.

File Form 424 — TX SOS Name Change

Amendment to Certificate of Formation filed with the Texas Secretary of State — updating the organization name to Clean Slate Houston Foundation and the purpose clause to reflect the veteran-focused mission. Fee: $25. Processing: 3–5 business days.

IRS Name Change Notification

Notify the IRS of the name change by letter to the Exempt Organizations unit, attaching the amended Certificate of Formation. No new Form 1023 required — the existing determination letter carries forward.

File Form 8822-B — Update IRS Records

Update the responsible party, mailing address, and organization name in IRS records. Free to file. Processing: 4–6 weeks.

Update Bank & Vendor Accounts

Update financial accounts, vendor registrations, and any state registrations to reflect the new name. Present amended Certificate of Formation as proof of name change.
